Welcome to WellMoney!

Shorter: By using WellMoney you agree to these terms.

WellMoney is a digital money sharing platform. These are WellMoney’s terms of use, and they apply to all users of the WellMoney platform. “We,” “our” or “us” refers to WellMoney Co. “WellMoney” refers to this platform and the services offered by us. By using WellMoney you agree to these terms and to the other policies we post from time to time. Please read them carefully and let us know if you have any questions. For information about our data practices, please see our Privacy Policy. We can collect and use your information in accordance with those policies.

Your account

Shorter: You must be at least 18 years old and live in the US to register for an account. You are responsible for your account.

When you create an account you must provide us with accurate information, in good faith, and you agree to keep your information updated if it changes. To create an account you must be at least 18 years old and live in the United States (or its territories or possessions, like Guam or Puerto Rico). You are responsible for anything that occurs when anyone is signed in to your account, as well as the security of the account. Please contact us at support@well-money.com immediately if you believe your account is compromised. 

What it means to be a member

A member is someone who creates a membership account with WellMoney, paying a monthly membership fee (and optional additional amounts), in order to support emergency funding needs for the member community. Members can also request emergency funding from WellMoney. There are a lot of details below involving payments, fees, taxes and conditions that you should read.  

Membership

Shorter: Members create accounts, pay into an emergency fund pool and can request emergency funds. Emergency funds are subject to availability and other conditions.

To become a member, simply create an account, add your preferred method to send (and receive) payments, and start making monthly contributions to the community emergency fund pool.  You can also always make additional contributions. You may cancel your membership payments at any time. Our policy is no refunds, though we will allow for some exceptions where refunds are granted at our sole discretion.

As a member, you can request emergency funds, subject to our Emergency Funding Policy, which explains our current conditions and limits on emergency fund requests.  Emergency fund requests will be fulfilled at our sole discretion.  Our ability to fulfill emergency fund requests depends on how much money we have in the community emergency fund pool. 

When we send emergency funds, we will try to provide timely access to your funds, but we cannot promise that your funds will be available by a certain day or time. When payments are delayed or do not go through we try to communicate the reason to you promptly. If you have questions, please contact us at support@well-money.com

Payment processing fees will be deducted from emergency fund payments. Those processing fees are charged by the payment processor (like PayPal), not by WellMoney.  You should refer to your agreement with the payment processor you use to understand how much those fees will be. 

Tax

WellMoney is not a charity, and payments to us are not tax deductible.  You are responsible for reporting any income or withholding taxes which may be due as a result of emergency fund payments you receive. 

WellMoney's role

Shorter: We operate the WellMoney platform and the member community emergency fund pool, only in the US.  Part of member payments goes toward those activities.

We operate the WellMoney platform and the member community emergency fund pool, which includes writing the software that makes it work, processing payments from members, receiving emergency fund requests, and making emergency fund payments.  Part of member payments goes toward those activities. 

We may add or test out new features from time to time, and we may also remove features. If we believe a feature we are testing is significantly different from these terms, then we explain those differences in the test.

We operate only in the United States (and its territories and possessions), and only in US dollars. We will not send emergency funds out of the United States, its territories and possessions.

WellMoney's content and code

Shorter: We provide our content and code only to allow you to use WellMoney, and you will need our permission for any other use.

The content on WellMoney (for example, text and graphics like our logo) and the software that runs Wellmoney is protected by copyright, trademark and other similar laws. You may only access and use WellMoney and its content in the form and through the interfaces we provide.  You may not otherwise use, reproduce, distribute, perform, publicly display or prepare derivative works of our creations unless we give you permission in writing. Indemnity

Shorter: If we are sued because of your use of or conduct on WellMoney, you have to help pay for it.

You will indemnify us from all losses and liabilities, including legal fees, that arise from these terms or relate to your use of WellMoney. We reserve the right to exclusive control over the defense of a claim covered by this clause. If we use this right then you will help us in our defense. Your obligation to indemnify under this clause also applies to our subsidiaries, affiliates, officers, directors, employees, agents and third party service providers.

Warranty disclaimer

Shorter: We do our best to make sure WellMoney works as expected, but we can’t promise that everything will always go as planned.

WellMoney is provided “as is” and without warranty of any kind. Any warranty of merchantability, fitness for a particular purpose, non-infringement, and any other warranty is excluded to the greatest extent permitted by law. The disclaimers of warranty under this clause also apply to our subsidiaries, affiliates and third party service providers.

Limit of liability

Shorter: If you lose money as a result of using WellMoney, any payment to you is limited to the amount of money we have earned through your use of WellMoney.

To the extent permitted by law, we are not liable to you for any incidental, consequential or punitive damages arising out of these terms, or your use or attempted use of WellMoney. To the extent permitted by law, our liability for damages is limited to the amount of money we have earned through your use of WellMoney, or, if greater, one hundred dollars ($100). We are specifically not liable for loss associated with declined emergency fund requests, or with any delay in or failure of emergency funds. For this clause “we” and “our” is defined to include our subsidiaries, affiliates, officers, directors, employees, agents and third party service providers.

Dispute resolution

Shorter: If you have a problem please talk to us. Any disputes with us must be resolved in Oakland, California under California law.

We encourage you to contact us if you have an issue. If a dispute does arise out of these terms or in relation to your use of WellMoney, and we cannot resolve it between ourselves, then the dispute will be resolved in the federal or state courts of Oakland, California. Both parties consent to the exclusive jurisdiction and venue of the Oakland courts for the purpose of resolving any such dispute. California law, excluding its conflict of law provisions, governs these terms, all other WellMoney policies, and any dispute that arises between you and WellMoney.

Everything else

Shorter: These terms are the final word on the agreement between WellMoney and you.  We will tell you if we change them in any meaningful way.

These terms and any referenced policies are the entire agreement between you and us, and supersede all prior agreements. If any provision of these terms is held to be unenforceable, then that provision is modified to the extent necessary to enforce it. If a provision cannot be modified, it is severed from these terms, and all other provisions remain in force. If either party fails to enforce a right provided by these terms, it does not waive the ability to enforce any rights in the future. We may sometimes make changes to these terms and policies. If we make material changes that adversely affect your rights, then we will let you know before the changes come into effect.
